BoardSpring Privacy Policy

BoardSpring is a platform designed to help nonprofit organizations engage board members and other participants in fundraising, relationship-building, stewardship, learning, and related nonprofit activities.

This Privacy Policy explains how BoardSpring collects, uses, stores, and protects information when individuals and organizations use the BoardSpring platform.

Information We Collect

BoardSpring may collect information provided directly by users or their organizations, including:

  • name;

  • email address;

  • organization and role information;

  • contact information entered into BoardSpring;

  • task, activity, and participation information;

  • learning and certification progress;

  • communications preferences;

  • information voluntarily entered into notes, reflections, or related platform features; and

  • technical and account information necessary to operate, secure, and support the platform.

BoardSpring may also maintain limited operational records such as login, integration, email-send, support, error, and audit information necessary to provide and protect the service.

How We Use Information

BoardSpring uses information to:

  • provide and operate the BoardSpring platform;

  • assign and manage board or committee activities;

  • help users communicate with contacts;

  • support nonprofit fundraising and engagement activities;

  • provide learning content and track participation;

  • provide organizational reporting and analytics;

  • authenticate users and protect accounts;

  • support users and troubleshoot technical issues;

  • maintain the security, reliability, and integrity of the platform; and

  • improve BoardSpring's functionality and user experience.

BoardSpring does not sell personal information.

Google Account and Gmail Data

BoardSpring allows users to optionally connect a Google account so they can send BoardSpring-related emails through their own Gmail account.

BoardSpring requests only the Google permission necessary to support this feature:

Send email on your behalf (https://www.googleapis.com/auth/gmail.send).

BoardSpring uses this permission only when a user chooses to send an email through BoardSpring.

BoardSpring does not use this permission to:

  • read a user's Gmail inbox;

  • access received email messages;

  • search a user's mailbox;

  • access Gmail contacts;

  • delete or modify existing email messages; or

  • monitor a user's Gmail account.

BoardSpring does not use Google user data for advertising, profiling, or unrelated purposes.

BoardSpring's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including applicable Limited Use requirements.

Storage of Google User Data

BoardSpring may securely store authorization information necessary to maintain a user's optional Google connection.

BoardSpring does not intentionally store the contents of a user's Gmail inbox or received messages.

For emails initiated through BoardSpring, BoardSpring may retain limited operational metadata necessary to confirm that an email-send action occurred or to troubleshoot a failed send. Such records may include information such as the sending account, date or time, related BoardSpring activity, provider, and send status.

BoardSpring does not use stored Google authorization information for any purpose other than providing the connected-email functionality requested by the user.

Sharing of Information

BoardSpring does not sell Google user data or personal information.

Information may be shared only when reasonably necessary to:

  • provide the BoardSpring service;

  • operate infrastructure or service providers supporting BoardSpring;

  • comply with applicable law or valid legal process;

  • investigate fraud, abuse, or security incidents; or

  • protect the rights, safety, and security of BoardSpring, its users, or others.

Service providers acting on BoardSpring's behalf may process information only as necessary to provide their services and subject to appropriate confidentiality and security obligations.

User Choice and Connected Accounts

Connecting Gmail to BoardSpring is optional.

Users who do not connect Gmail may use other available methods to send BoardSpring-related communications outside the platform.

Users may disconnect their Google account from BoardSpring. Users may also revoke BoardSpring's access through their Google Account security settings.

Revoking or disconnecting access prevents BoardSpring from making future Gmail API requests using that authorization.

Data Security

BoardSpring uses administrative, technical, and organizational safeguards designed to protect information against unauthorized access, misuse, loss, alteration, or disclosure.

No online service can guarantee absolute security, but BoardSpring works to limit access to information and applies security controls appropriate to the nature of the platform and the information it processes.

Data Retention

BoardSpring retains information for as long as reasonably necessary to provide the service, maintain legitimate operational records, meet legal obligations, resolve disputes, and protect the platform.

Organizations may have their own policies regarding information maintained within their BoardSpring accounts.

Children's Privacy

BoardSpring is designed for nonprofit organizations, board members, committee members, staff, and other adult participants. It is not intended for children under 13, and BoardSpring does not knowingly collect personal information from children under 13.

Changes to This Privacy Policy

BoardSpring may update this Privacy Policy from time to time. Material changes will be reflected by updating the effective date or by providing additional notice where appropriate.

BoardSpring Terms of Service

Effective Date: May 1, 2026

These Terms of Service govern access to and use of BoardSpring, a platform operated by The BoardSpring Group LLC.

By accessing or using BoardSpring, you agree to these Terms.

1. BoardSpring Service

BoardSpring provides tools designed to help nonprofit organizations engage board members, committee members, staff, and other participants in fundraising, stewardship, relationship-building, learning, communications, and related nonprofit activities.

BoardSpring may include features such as:

  • assigned activities and action prompts;

  • contact and relationship-management tools;

  • email and communication tools;

  • learning resources;

  • participation tracking;

  • analytics and reporting;

  • organizational administration; and

  • integrations with third-party services.

BoardSpring is not a donor database, financial institution, law firm, accounting firm, or professional fundraising solicitor.

2. Organization Accounts

Organizations may authorize administrators and participants to use BoardSpring.

Organizations are responsible for:

  • determining who should have access to their account;

  • maintaining accurate account and participant information;

  • ensuring their use of BoardSpring complies with applicable laws and organizational policies;

  • determining what information users may enter into BoardSpring; and

  • managing their relationships with donors, prospects, volunteers, and other contacts.

Users must use BoardSpring only for authorized organizational purposes.

3. User Accounts

Users are responsible for maintaining the confidentiality and security of their accounts and authentication credentials.

Users may not:

  • share credentials improperly;

  • impersonate another individual;

  • attempt to gain unauthorized access to another organization;

  • circumvent security or authorization controls;

  • interfere with the operation of the platform; or

  • use BoardSpring for unlawful, abusive, fraudulent, or misleading purposes.

4. Connected Email Accounts

BoardSpring may allow users to connect Gmail, Microsoft Outlook, or other supported email providers.

Connecting an email account is optional.

When a user chooses to send an email using a connected account, BoardSpring may transmit the user-created message through that provider on the user's behalf.

Users are responsible for:

  • reviewing messages before sending;

  • ensuring they have the right to contact the recipient;

  • complying with applicable email, privacy, fundraising, and solicitation laws; and

  • complying with their organization's policies.

BoardSpring does not guarantee that any email will be delivered, opened, or acted upon.

5. Google Integration

If a user connects a Google account, BoardSpring may request permission to send email through Gmail.

BoardSpring uses Google API access only for the connected feature authorized by the user and in accordance with the Google API Services User Data Policy.

Users may disconnect or revoke Google access at any time.

6. User and Organization Content

Users and organizations may enter information into BoardSpring, including contact information, notes, task information, communications, and organizational materials.

As between BoardSpring and the customer organization, the organization retains its rights in the information it provides to BoardSpring.

The organization grants BoardSpring the limited right to process that information as necessary to operate, secure, support, and improve the service.

Users should not enter information into BoardSpring that they are not authorized to use or share.

7. Confidentiality and Privacy

BoardSpring will handle personal and organizational information in accordance with its Privacy Policy.

BoardSpring does not sell customer data or Google user data.

Users should review the BoardSpring Privacy Policy for additional information about data practices.

8. Acceptable Use

Users may not use BoardSpring to:

  • violate applicable law;

  • send spam or unauthorized bulk communications;

  • harass, threaten, or deceive others;

  • upload malicious software;

  • compromise or attempt to compromise another account;

  • probe or circumvent platform security;

  • access another organization's information without authorization;

  • copy, reverse engineer, or exploit the service except as permitted by law; or

  • use BoardSpring in a manner that materially disrupts the platform or other users.

9. Third-Party Services

BoardSpring may integrate with third-party services, including Google, Microsoft, donor-management systems, and other technology providers.

Those services are governed by their own terms and privacy policies.

BoardSpring is not responsible for the availability, security, or operation of third-party services outside BoardSpring's control.

10. Availability and Changes

BoardSpring may modify, improve, suspend, or discontinue features from time to time.

BoardSpring will use reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free operation.

Maintenance, third-party outages, internet failures, security events, or other circumstances may temporarily affect access.

11. Fees

Paid access to BoardSpring may be governed by a separate agreement, order form, subscription agreement, or other written arrangement between BoardSpring and the customer organization.

If there is a conflict between these Terms and a signed customer agreement regarding pricing, subscription duration, payment, cancellation, or other commercial terms, the signed customer agreement will control.

12. Intellectual Property

BoardSpring and its underlying software, design, content, trademarks, learning materials, and related intellectual property are owned by or licensed to The BoardSpring Group LLC.

Except for the limited right to use the service, these Terms do not transfer any BoardSpring intellectual property rights to users or organizations.

13. Disclaimer

BoardSpring provides tools and educational resources intended to support nonprofit engagement and fundraising activity.

BoardSpring does not guarantee fundraising results, donor participation, introductions, gifts, revenue, organizational performance, or other outcomes.

The service is provided on an "as available" basis to the extent permitted by law.

14. Limitation of Liability

To the maximum extent permitted by applicable law, BoardSpring and The BoardSpring Group LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the service.

Any additional limitations of liability contained in a signed agreement between BoardSpring and a customer organization will also apply.

15. Suspension or Termination

BoardSpring may suspend or restrict access where reasonably necessary to:

  • protect the security of the platform;

  • prevent misuse;

  • comply with law;

  • address a material violation of these Terms; or

  • protect BoardSpring, its customers, or users.

Organizations may discontinue use subject to any applicable subscription or customer agreement.

16. Changes to These Terms

BoardSpring may update these Terms from time to time.

Material changes will be reflected by updating the effective date or providing additional notice where appropriate.

Continued use of BoardSpring after an update constitutes acceptance of the revised Terms to the extent permitted by law.

17. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, unless a separate written agreement provides otherwise.
